USG People N.V. shareholders vote in favour of introducing protective
preference shares
Almere, the Netherlands, 23 December 2008 - USG People announces that
the company's shareholders have voted in favour of the proposed
amendment to the articles of association during today's extraordinary
general meeting of shareholders. This amendment to the articles of
association was proposed by the Executive Board and Supervisory Board
to provide for the introduction of protective preference shares.
The Executive Board is pleased that shareholders have voted in favour
of the proposal to provide for the introduction of protective
preference shares. The Executive Board believes the measure can
strengthen USG People's negotiating position should this be necessary
at any time in the future.
The Executive Board will use the next six months to establish a
Stichting ('Foundation'). In accordance with the powers granted by
shareholders, the Executive Board will grant the Foundation an option
to obtain preference shares. In addition, three people will be
appointed to the board of the Foundation.
