USG People N.V. to propose introduction of protective preference
shares
Notice of Extraordinary General Meeting of Shareholders
Almere 5 December 2008 - USG People announces that it will hold an
Extraordinary General Meeting of Shareholders on 23 December 2008. At
the meeting shareholders will be asked to approve a proposal to amend
the Articles of Association to provide for the introduction of
protective preference shares.
One of the reasons for introducing protective preference shares is
that the current development of the share price means that it has
become relatively inexpensive to build up an influential stake
without shareholders being able to benefit from an attractive public
offer.
Shareholders, employees and other stakeholders benefit from stable
and balanced decision-making in the general meeting. USG People
believes that the interests of its stakeholders are best served if
the Articles of Association provide for the introduction of
preference shares. While there is no immediate reason for taking this
measure, USG People believes that it can strengthen its negotiating
position should this be necessary at any time in the future. The
Executive Board and Supervisory Board urge shareholders to approve
the proposed amendment to the Articles of Association.
